Sedgwick Claims Management Services Inc. h as provided s uch services to the City since 2011. The city was paying $40,867.17 a month to Sedgwick for the services for the past three years totaling in $490,406.04 per contract year. Risk Management is requesting permission to extend the current service agreement between Sedgwick Claims management and the City of Hialeah for an additional one contract year commencing on December 1st 2023 -November 30th 2024 at the same monthly amount of $40,867.17. The Risk Management Department had two senior employees retire in June of2023 and the department has not only been short staffed, but has restrnctured the entire department over the last several months. This limitat ion inclusive of the tremendous time demands of facilitating the health insurance open enrollment the last couple of months has not allowed the Risk Management Department the ability to sufficiently undertake the RFP process for the November 30, 2023 contract expiration. There a lso have been a couple of South Florida municipalities that have gone to RFP for these services which will allow the City to analyze a possible "piggy back" o n one of these RFPs if the parameters are favorable. Additionally, we have also negotiated changing the managed care, medical bill review, and pharmacy services currently performed by Corvel Corporation to Sedgwick C laims Management Services which is anticipated to reduce fees associated w ith these services by approx im ately $500,000 over the one-year extension. Sedgwick Claims Management Services, Inc . has provided such services with the City since 2011; At that time, Sedgwick acquired Cambridge Integrated Setv1ces Group, Inc., which had previously been providing the services to the City. Sedgwick is a leading global provider of technology-enabled risk, benefits and integrated business solutions with nearly 27,000 employees in 65 countries. Over the years, Sedgwick has done a tremendous Job in processing claims, providing loss control, and limiting risk at the City. Sedgwick has been a major. factor in all of this and has made a tremendous impact. • • • ~ regards to services, Sedgwick provides an on-site ·dedicated staff to the City with one supervisor, one .w/c indemnity claims examiner, and one liability claims examiner. Two of the staff. members. have been worltjng orrsi~e at the City for 7-10 years. The supervisor has 40 years of experience in w/c and is well versed in all o_f the recent lepla!ive changes. She also has an excellent working ~lationship with City • department heads, City employ~, an4 union leadership. • • Sedgwick has. an automated data management sy~tem that has been tracking claims and payments ~d providing varying reports for many years. It would cause significant disruption to the City and to injured workers if the City decided to change to a new data management system and administrator. The City is currentlypaying $40,867.00 a month to Sedgwick for tJie services listed above. · Sedgwick is providing a renewal with the exact same rate ·of $40,867.00 a month with.the same services for the ·next three years. Accordingly, it is the recommendation of the Risk Management Department that Sedgwick's contract be renewed for this amount for three additional years. In consideration of the Agreement recitals and the mutual covenants and conditions contained herein, the Parties acknowledge that the Agreement is hereby modified and amended as follows: 1. Section SA of the Agreement is hereby modified and amended to provide that the Agreement term shall be extended for an additional period commencing December 1, 2020 and ending November 30, 2023. 2. S ubrogation and Other Recoveries: 1) Sedgwick shall pursue recoveries for subrogation, second injury funds, and other applicable special funds such as suppl emental state funds, COLA reimbursements, 2 retro funds, and other similar funds. Client shall pay Sedgwick twenty percent (20%) of the recovery received. All fees and expenses, including attorneys' fees or investigations, for pursuit of any recovery shall be charged to the appropriate Qualified Claim file as an allocated loss adjustment expense. 2) As determined by the Parties, Sedgwick shall either: Deposit the recovery funds and issue payment from Sedgwick's accounts payable system to Client for the net recovery (less Sedgwick's fee). Sedgwick will deposit the net recovery check into the Client's loss-funding account or forward it directly to the Client; or Deposit the recovery funds into the Client's loss-funding account and Sedgwick shall receive payment from the claim file or directly from Client. 4. The Agreement is hereby modified and amended to delete the Medicare Reporting Services Schedule contained therein and substitute the following therefore: 12/2020 "MEDICARE REPORTING SERVICES SCHEDULE To assist the Client in fulfilling Client's Medicare beneficiary reporting obligations under Medicare, Medicaid and State Children's Health Insurance Program Extension Act of 2007 ("MMSEA") Section 111 as set forth in 42 U.S.C. §1395y(b)(7)&(8) and the CMS User Guide ("User Guide") published on March 16, 2009 (and as amended and revised), Sedgwick will perform the following reporting services: 1. Sedgwick will electronically interface with the Centers for Medicare and Medicaid Services ("CMS") to capture and report data in the format prescribed by the CMS Specifications. 2. Sedgwick will report directly to CMS on behalf of Client as an Account Designee (reporting agent), as such term is defined in the CMS User Guide as amended from time to time by CMS. 3. Client will be considered a Responsible Reporting Entity ("RRE") as that term is defined in the User Guide. a. Client will be responsible for maintaining a valid RRE Identification Number as described in the User Guide and is a condition precedent to Sedgwick preforming the duties under this section. Failure to maintain the RRE Identification Number will result in Sedgwick's inability to properly report claims on behalf of the Client. Sedgwick assumes no responsibility for maintaining a valid RRE Identification Number on behalf of the Client. 4. Sedgwick will assist Client as follows: a. Sedgwick will electronically interface with CMS to capture and report data in the format prescribed by the User Guide. b. Sedgwick will report directly to CMS on behalf of the Client as an Account Designee (reporting agent), and/or Account Manager as such term is defined in the User Guide. c. Sedgwick will prepare the required data files and submit them to CMS on a periodic basis in order to properly query and report the appropriate files as defined in the User 3 Guide. 5. Sedgwick will be responsible for payment of any and all fines·assessed to Client regarding compliance with the Medicare beneficiary reporting requirements of Medicare, Medicaid and SCHIP Extension Act of2007 that relate to the negligent acts or omissions of Sedgwick except to the extent that: a. Such fines or penalties are the direct result of specific direction given by Client and/or its agent or the actions or omissions of Client and/or its agent; or b. Sedgwick did not receive information from Client that is essential to the performance of the duties set forth herein in a timely manner so as to be able to comply with the terms of this Agreement." WHEREAS, pursuant to Section 2-816 of the City of Hialeah Code of Ordinances, when impractical or not advantageous to the City of Hialeah (City"), competitive bidding may be waived; and WHEREAS, the City has a longstanding valuable relationship with Sedgwick Claims Management Services for providing third party workers compensation and liability claims administration; and, WHEREAS, pursuant to City of Hialeah Resolution 2020-024, Adopted on February 11, 2020 and subsequent City Council approvals, the City of Hialeah has entered agreements with Sedgwick Claims Management Services, Inc. and Sedgwick Claims Management Services, Inc. has satisfactorily performed thereunder; and WHEREAS, Sedgwick Claims Management Services, Inc. will handle all existing claims and newly reported claims for the duration of the claim at no additional cost; and WHEREAS, Sedgwick Claims Management Services, Inc. has agreed to a 90-day cancellation clause in the contract whereby the City of Hialeah, may terminate its relationship with Sedgwick Claims Management System, Inc., upon 90-day written advance notice; and WHEREAS, it is advantageous to the City since the renewal contract provides a discount from what the City is currently paying; and WHEREAS, funding for this project will be from account #510.8500.519340; and RESOLUTION NO. ---- Page No. 2 WHEREAS, the City finds it is advantageous to the City and in the best interest, health and welfare of the community to waive competitive bidding. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF HIALEAH, FLORIDA, THAT: Section 1: The foregoing facts and recitations contained in the preamble to this resolution are hereby adopted and incorporated by reference as if fully set forth herein. Section 2: The City of Hialeah, Florida hereby authorizes the Mayor and City Clerk, on behalf of the City, enter into a one year agreement, commencing on December 1, 2023 and ending on· November 30, 2024, with Sedgwick Claims Management Services, Inc., to provide administrative services for the City of Hialeah's Self-Insurance Program in the areas of Auto Liability, General Liability, Auto Physical Damage, Police and Fire Professional Liability, and Workers' Compensation for the City of Hialeah, Florida. Section 3: The City of Hialeah, Florida hereby waives competitive bidding, and authorizes the expenditure of the sum not to exceed $490,406.04 for the contractual year of December 01, 2023 -November 30, 2024, to be paid monthly drawn against account number #510.8500.519340, for the services to be provided under the agreement. The Mayor or his designee and the City Clerk, as attesting witness, are authorized to sign the required purchase order( s) and such other procurement documents as are needed to effectuate this Resolution.
