In accordance with the City of Hialeah Code Section 2-818 State, county, or other governmental agency bids or contracts:
Whenever advantageous to the City, the City may utilize bids that have been awarded or under contract by the state, county,
or other governmental agencies. If the City utilizes state, county, or other governmental agency bids, the competitive bidding
will not be required.
The affordable housing residents notified the Mayor's office of the increased presence of squatters, illegally parked vehicles,
drugs, and crime. Therefore, the Mayor's office, during the holidays, to combat the increased threat to our affordable housing
tenants, tasked the Finance management department to find a qualified, cost-effective security guard services contractor to
patrol our affordable housing buildings and City Hall. The team found a competitive bid contract and negotiated a discounted
rate with the chosen vendor. Security alliance has provided City with excellent service for the last four months. With the
presence of security guards and additional steps taken by the administration, the residents are experiencing reduced squatters,
illegally parked vehicles, drugs, and crime.
We respectfully request that you approve maintaining the services of Security Alliance via a piggyback through Miami
Beach RFP 2020-007-JC. Your approval will secure the continuation of three-level V security guards and two vehicles to
patrol our affordable housing building and City Hall. Furthermore, we are requesting to increase the two current purchase
orders, 2023-1560 for $36,080.00 -City Hall and 2023-1272 for $100,122.00 -Affordable Housing this will cover the
services for the remainder of the fiscal year.
Funding will be provided through accounts 125.8500.554340 -Affordable Housing Contractual Services with a balance of
$151,671.12 and 001.8500.519340 -Contractual Services with a balance of $154,939.98.

AGREEMENT FOR
SECURITY OFFICER SERVICES BY AND BETWEEN
THE CITY OF HIALEAH, FLORIDA AND SECURITY ALLIANCE, LLC
This Professional Services Agreement ("Agreement") dated the ___ day of
_____ , 2023 by and between City of Hialeah, a Florida municipality ("CITY"), and
Security Alliance, LLC, a Florida company, whose principal business address is 8323 N.W. 12th
Street, Suite 215; Doral, FL 33125 ("CONTRACTOR") Gointly the "PARTIES").
WHEREAS, CONTRACTOR provides security officer or guard services; and
WHEREAS, CONRACTOR represents that it has the background, experience, and
capabilities to competently provide the security officer services required by CITY; and
WHEREAS, CONTRACTOR provides services substantially similar to those required by
the City to the City of Miami Beach, Florida, pursuant to an Agreement entitled Professional
Services Agreement between the City of Miami Beach and Security Alliance, LLC for Security
Officer Services Pursuant to RFP No. 2020-007-JC dated April 1, 2021, ("MB Agreement"),
resulting from a Request for Proposals No. 2020-007-JC for Security Officer Services, as
amended, ("MB RFP"); and
WHEREAS, the CITY has elected to purchase off the MB Agreement subject to the
provisions of this Agreement to address local needs and requirements;
NOW THEREFORE, for an in consideration the mutual promises set forth in this
Agreement, and other good and valuable consideration, the receipt and sufficiency of which are
hereby expressly acknowledged, the Parties agree to the following terms and conditions:
1. Incorporation by reference; conflicts. The following documents comprise
the MB Agreement and are incorporated in their entirety by reference into this Agreement:
a. City of Miami Beach Professional Services Agreement, together with all
exhibits and amendments, dated April 1, 2021 together with the Proposal Documents, as
defined in the MB Agreement
The provisions of this Agreement shall govern over any conflict or inconsistency with the terms
or conditions of the MB Agreement.
2. Wherever the MB Agreement refers to the City of Miami Beach, this reference shall
be amended to read the City of Hialeah.
3. The following Definitions in Section 1 of the MB Agreement are amended as
follows:
City Manager: Wherever the MB Agreement refers to the City Manager, this
reference shall be amended to read City Mayor.

Contract Administrator: Wherever the MB Agreement refers to the Contract
Administrator, this reference shall be amended to read Purchasing Manager. The City's
Purchasing Manager is Luis Suarez.
Risk Manager: Wherever the MB Agreement refers to Risk Manager, this reference
shall read: Timothy Benjamin; City of Hialeah, Florida -City Hall; 501 Palm Avenue, 3rd
Floor; Hialeah, Florida 33010. Telephone Number (305) 883-8060.
4. Paragraph 2.3 Scope of Services of the MB Agreement is hereby deleted in its
entirety.
5. Section 3 Term of the MB Agreement is hereby amended to read an initial term
beginning on the effective date of this Agreement and ending on March 31, 2024. The effective
date of this Agreement shall be the date the last of the Parties to this Agreement signs. The City
shall sign last.
6. Paragraph 4.2 Cost Escalation/Contractor Termination Right of the MB Agreement
is hereby deleted in its entirety and the paragraph number shall be reserved to preserve sequence
and order in Section 4. Paragraph 4.3 shall be amended to strike "Accounts Payables Division:
Payables@miamibeachfl.gov. Invoices shall be submitted to the Contract Administrator at City
of Hialeah, Fla. -City Hall; 501 Palm Avenue, 4th Floor; Hialeah, FL 33010. The remaining
provisions of Paragraph 4 remain the same and in effect.
7. Paragraph 10.2 Inspector General Audit Rights of the MB Agreement is hereby
deleted in its entirety. In its stead, Paragraph 10.2 shall be amended to read:
10.2 Independent Contractor
Contractor, its employees, sub-contractors, agents or representatives, shall be deemed to
be independent contractors and not agents or employees of the City. The City shall have
no obligation to pay or provide for Contractor, Contractor's employees, agents,
representatives, or sub-contractors. Contractor, its employees, agents, representatives, or
sub-contractors shall not attain any right or benefit under the civil service or pension
ordinances of the City, or any right or benefit generally afforded classified or unclassified
employees of the City, such as pension benefits, worker's compensation, health insurance,
unemployment benefits, or any other right or privilege granted to the City's officers and
employees.
8. Paragraph 10.3 Assignment, Transfer or Sub consulting of the MB Agreement is
hereby amended to add the following language as the fourth paragraph:
Contractor is fully responsible for satisfactory completion of the work by all of
Contractor's subcontractors. Subcontracting will not relieve the Contractor of its duties
under this Agreement. If any subcontractor fails to perform the part of the work undertaken
by it in a satisfactory manner to the City, Contractor shall immediately upon notice from
City terminate such subcontractor. Contractor shall have no claim for damages, for

compensation in excess of the Compensation agreed to in the respective SOW, or for delay
or extension of completions dates within the performance schedule as a result of any such
termination. This Agreement is intended for the benefit of the parties hereto and their
respective successors and permitted assigns, and is not for the benefit of, nor may any
provision hereof be enforced by, any other Person, an is not intended to create any third-
party beneficiary rights.
9. Paragraph 10.7(F) is hereby amended to identify the City's Custodian of Public
Records and address as: City of Hialeah, Fla.; Marbelys Fatjo, Esq., City Clerk and Records
Custodian; City Hall - 3
rd Floor; Hialeah, FL 33010; e-mail: mrubio@hialeahfl.gov; Telephone
Number: (305) 883-5820.
10. Paragraph 10.8 Living Wage Requirement of the MB Agreement shall be deleted
in its entirety and the paragraph number shall be reserved to preserve sequence and order in Section
10.
11. The provisions of Section 11 Notices of the MB Agreement are amended to identify
the proper person to provide Notice to the City as follows: Luis Suarez, Purchasing Manager; City
of Hialeah, Fla.; City Hall - 4
th Floor; Hialeah, FL 33010.
12. Section 12 Miscellaneous Provisions of the MB Agreement is amended to add the
following language:
"12.4 Unauthorized Aliens. Contractor represents that it is registered to use, uses, and
shall continue to use the E-Verify system, an internet-based system operated by the United States
Department ofHomeland Security that allows participating employers to electronically verify the
employment eligibility of newly hired employees, throughout the Term of this Agreement.
Contractor also represents that it will require from all subcontractors providing labor, goods or
services in connection with this Agreement a sworn statement attesting to subcontractor's
registration and use of the E-Verify system, and disclaiming the contracting, employment or
hiring of unauthorized aliens consistent with the requirements of§ 4 4 8. 0 9 5 (2)(b) 1. and ( b )2.,
for the duration of this Agreement. Contractor acknowledges that breach of this provision,
by either Contractor or any subcontractor of Contractor, shall result in immediate termination of
this Agreement."
13. Exhibit A "Billing Rates" of the MB Agreement is amended to reduce the hourly
rate of Security Officer Level V to $22.00 under Group A: Routine Rates. Furthermore, this
amended rate shall include the use of a Contractor official company vehicle by each of the Level
V Security Officers assigned to work for the City at no additional cost to the City.

This Professional Services Agreement ("Agreement") is entered into this 1st day of
April _ , 2021 , between the CITY OF MIAMI BEACH, FLORIDA, -a-municipal
corporation organized and ex isting under the laws of the State of Florida, having its principal
offices at 1700 Convention Center Drive , Miami Beach, Florida, 33139 ("City"), and SECURITY
ALLIANCE, LLC., a Florida Limited Liability Company, whose address is 8323 NW 12 Street,
Suite 215, Doral FL, 33125 ("Contractor").
SECTION 1
. DEFINITIONS
Agreement: This Agreement between the City and Contractor, including the
Proposal Documents as defined herein , and any exhibits and
amendments to this Agreement.
City Manager : The chief administrative officer of the City .
Contract Administrator : The Contract Administrator for the City shall be the City's Police
Department Assistant Chief, Paul Acosta .
Contractor: For the purposes of this Agreement, Contractor shall be deemed to
be an independent contractor, and not an agent or employee of the
City .
Serv ices: All services , work and act ions by the Contractor performed or
undertaken pursuant to the Agreement.
Fee : Amount paid to the Contractor as compensation for Services .
Proposal Documents : Proposal Documents shall mean City of Miami Beach Request for
Proposals No . 2020-007 -JC for Security Officer Services, together
with all amendments thereto , issued by the City in contemplation of
this Agreement (the "RFP"), and the Contractor's proposal in
response thereto (the "Proposal"), all of which are hereby adopted by
reference and incorporated herein as if fully set forth in this
Agreement. Accordingly, Contractor agrees to abide by and be bound
by any and all of the Proposal Documents ; provided, however, that in
the event of an express conflict between the Proposal Documents and
this Agreement, the following order of precedent shall prevail : (i) this
Agreement ; (ii) the RFP ; and (iii) the Proposal.
